These Trade and Wholesale Account Terms apply to approved trade customers, wholesale customers, resellers, commercial customers and business account holders purchasing products from Polish Up.

These Terms apply together with any accepted quotation, credit application, account-approval letter, invoice and other written terms agreed between Polish Up and the customer.
Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.
1. Definitions
In these Terms:
- Account customer means a customer approved by Polish Up for trade, wholesale or credit-account purchasing.
- Customer, you or your means the person, business, company, partnership, trust or organisation purchasing products from Polish Up.
- Goods or products means products supplied or offered by Polish Up.
- Polish Up, we, us or our means Consolidated Supply Pty Ltd as trustee for Ravs Trust trading as Polish Up.
- Quotation means a written price or supply proposal issued by Polish Up.
2. Applying for a trade or wholesale account
Trade and wholesale accounts are available only after approval by Polish Up.
We may request information including:
- legal business name
- trading name
- ABN or ACN
- business and delivery addresses
- contact details
- directors, owners or authorised representatives
- business activity and intended product use
- estimated order volume
- trade references
- credit information where credit terms are requested
Submitting an application does not guarantee approval.
Polish Up may approve, decline, limit, suspend or close an account on reasonable commercial, payment, fraud, supply, safety or compliance grounds.
3. Authority to act for a business
A person applying for or using an account on behalf of a business confirms that they are authorised to:
- provide the application information
- place orders
- accept these Terms
- incur payment obligations on behalf of the customer
The customer must promptly notify Polish Up when an authorised purchaser or contact person leaves the business or is no longer authorised to place orders.
4. Account information
Customers must ensure that account information remains complete and accurate.
Please notify Polish Up promptly of changes to:
- legal or trading name
- ownership or control
- business structure
- ABN or ACN
- billing or delivery address
- telephone or email details
- authorised purchasing personnel
- financial circumstances that may materially affect payment
Polish Up may require a new application where there is a material change in ownership, entity or business structure.
5. Trade and wholesale pricing
Trade or wholesale pricing may be provided through:
- a trade account
- a wholesale price list
- a written quotation
- a customer-specific price agreement
- a volume-based offer
Unless stated otherwise:
- prices are in Australian dollars
- GST is included or separately identified as stated in the quotation, price list or invoice
- freight and delivery charges are additional
- trade pricing cannot be combined with retail coupon codes or promotions
- prices may change for future orders
The price applying to an order is the price confirmed by Polish Up when the order is accepted.
6. Recommended resale prices
Polish Up may provide recommended resale prices for guidance.
Recommended resale prices are recommendations only. Resellers remain responsible for independently determining their own resale prices, subject to applicable law.
Trade discounts, account status and supply decisions will not be made conditional on a reseller selling at or above a minimum resale price.
7. GST
Unless expressly stated otherwise, prices for Australian supplies include GST where GST is applicable.
Tax invoices will identify the applicable GST amount or include the information required for a valid tax invoice.
8. Quotations
A quotation is valid for the period stated in the quotation.
If no validity period is stated, the quotation is valid for 14 days from its issue date unless withdrawn earlier because of:
- a material pricing error
- stock becoming unavailable
- a supplier price change
- a material freight change
- a legal or transport restriction
A quotation is not an accepted order until Polish Up confirms acceptance.
Quotations are based on the quantities, products, delivery details and other information provided at the time. Changes may require a revised quotation.
9. Orders
Orders may be placed through an approved method, including:
- the Polish Up website
- telephone
- an accepted quotation
- an approved purchase order
Submitting a purchase order or order request constitutes an offer to purchase under these Terms.
An order is accepted when Polish Up expressly confirms acceptance, issues a dispatch confirmation, confirms collection readiness or begins fulfilling the order.
10. Purchase orders
A customer purchase-order number may be included on the invoice when supplied before invoicing.
Any terms appearing on a customer’s purchase order do not override these Terms unless Polish Up expressly agrees to the change in writing.
Polish Up will not be bound by a customer term merely because it appears on a purchase order, procurement platform or other customer document.
11. Minimum order quantities and pack quantities
Some wholesale products may be subject to:
- minimum order quantities
- carton quantities
- pack-size requirements
- minimum order values
- special-order requirements
Applicable requirements will be stated in the price list, quotation, product information or order confirmation.
12. Product availability
Stock information is provided in good faith but may be affected by simultaneous orders, stock-counting errors, damaged stock or supplier delays.
Where a product is unavailable, Polish Up may offer:
- a revised estimated supply date
- a backorder
- partial dispatch
- a suitable alternative with the customer’s agreement
- cancellation and refund or credit for the unavailable product
Polish Up will not substitute a materially different product without approval.
13. Special-order and imported products
Products specially ordered, manufactured, modified or imported for a customer may require:
- a deposit
- full prepayment
- a minimum quantity
- a longer lead time
- customer approval of specifications
Once the special order has been placed with the supplier or production has begun, cancellation or change-of-mind return may not be available.
This does not limit any rights relating to faulty, unsafe, incorrectly described or incorrectly supplied products.
14. Payment in advance
Unless Polish Up has approved written credit terms, payment must be received and cleared before products are dispatched or made available for collection.
Available payment methods will be shown on the invoice, quotation, website or other payment request.
15. Credit accounts
Credit terms are available only where expressly approved by Polish Up in writing.
Approval may specify:
- a credit limit
- payment due date
- permitted purchasing methods
- authorised account users
- security requirements
- review or expiry dates
Polish Up may review a credit account periodically and may reasonably reduce, suspend or withdraw credit where:
- payment is overdue
- the credit limit is exceeded
- the customer’s circumstances materially change
- information supplied was materially incorrect
- there are reasonable concerns about fraud, solvency or payment risk
Withdrawal of credit does not cancel existing payment obligations.
16. Payment terms
Invoices must be paid by the due date shown on the invoice or account-approval document.
If no separate due date is shown, payment is due before dispatch.
Payment is considered received when cleared funds are available to Polish Up.
The customer must not withhold payment because of a separate dispute unless entitled to do so by law or Polish Up agrees otherwise in writing.
17. Credit limits
A customer must not exceed its approved credit limit without written approval.
Polish Up may require full or partial payment before accepting an order that would exceed the credit limit.
Unpresented orders, dispatched orders, unpaid invoices and other outstanding amounts may all be counted when assessing available credit.
18. Overdue accounts
If an invoice becomes overdue, Polish Up may take reasonable steps including:
- contacting the customer for payment
- suspending further dispatches
- placing the account on payment-in-advance terms
- reducing or withdrawing the credit limit
- cancelling unaccepted orders
- referring the debt for lawful recovery
Polish Up will not charge overdue interest unless an interest rate and calculation method were clearly stated in a written credit agreement accepted by the customer before the amount became payable.
The customer may be responsible for reasonable external debt-recovery or enforcement costs where those costs are legally recoverable and arise because of the customer’s payment default.
19. Payment disputes
A customer disputing an invoice should contact Polish Up promptly and identify:
- the invoice number
- the disputed amount
- the reason for the dispute
- supporting documents
The customer must pay any undisputed portion by its due date.
Polish Up will review the dispute and provide a response within a reasonable period.
20. Card fees and payment charges
Any card-payment surcharge or payment-processing fee will be disclosed before payment.
Where Australian card-surcharge laws apply, a surcharge will not exceed the applicable cost of accepting that payment type.
Payment-provider fees that are independently imposed on the customer by a third-party service are governed by that provider’s terms.
21. Delivery and freight
Delivery charges are additional unless the quotation or order confirmation expressly states that delivery is included.
Freight may depend on:
- parcel dimensions and weight
- delivery location
- commercial or residential destination
- tailgate or lifting requirements
- dangerous-goods restrictions
- remote-area surcharges
- carrier availability
Where a freight estimate proves materially incorrect before dispatch, Polish Up will contact the customer with a revised freight charge. The customer may approve the revised charge or cancel the affected unaccepted order.
22. Dispatch and delivery estimates
In-stock products are normally dispatched within one to two business days after payment or credit approval, unless another timeframe is agreed.
Dispatch and delivery dates are estimates unless Polish Up expressly agrees in writing to a fixed date.
Polish Up will notify the customer where a material delay becomes known and will provide available options.
23. Inspection after delivery
Customers should inspect deliveries promptly for:
- visible freight damage
- incorrect products
- missing cartons or components
- quantity discrepancies
Please report delivery discrepancies as soon as reasonably possible and provide photographs, delivery documents and product details where relevant.
A delay in reporting does not remove rights that cannot lawfully be excluded, but prompt notice can assist with carrier investigations and replacement arrangements.
24. Risk
Risk in products passes to the customer when the products are:
- delivered to the customer’s nominated address
- delivered to a person authorised to receive them
- collected by the customer or its nominated carrier
This section does not limit Polish Up’s responsibility for loss or damage occurring before delivery under applicable law.
25. Retention of title
Where products are supplied before full payment, title to those products remains with Polish Up until all amounts owing for those products have been paid in cleared funds.
Until title passes, the customer must:
- keep the products identifiable where reasonably practical
- not represent that the products are owned free of Polish Up’s interest
- take reasonable care of the products
- notify Polish Up of an insolvency appointment or material enforcement action
This clause is subject to the Personal Property Securities Act 2009 and other applicable laws.
LEGAL REVIEW REQUIRED BEFORE USING RETENTION-OF-TITLE OR PPSA TERMS
If Polish Up supplies products on credit, the retention-of-title and Personal Property Securities provisions should be reviewed by an Australian commercial solicitor.
A clause by itself may not adequately protect Polish Up. Appropriate security agreements, customer acceptance and correctly timed PPSR registrations may also be required.
26. Personal Property Securities Act
Where a transaction creates a security interest under the Personal Property Securities Act 2009, the customer agrees to reasonably assist Polish Up to:
- register, maintain or amend a security interest
- provide information reasonably required for registration
- confirm the correct legal identity of the customer
- protect Polish Up’s interest in supplied products and identifiable proceeds
Any registration, enforcement or waiver provision must operate only to the extent permitted by law.
27. Resale of products
Approved resellers may resell products in the ordinary course of business unless a product, brand agreement or separate written arrangement states otherwise.
Resellers are responsible for:
- accurate product advertising
- not making misleading or unsupported claims
- providing customers with applicable consumer guarantees
- maintaining appropriate product and transaction records
- complying with product-safety and recall requirements
- not altering labels, safety warnings or instructions in a misleading manner
28. Product descriptions and marketing material
Polish Up may provide photographs, product descriptions, specifications or marketing material for approved resale use.
Unless otherwise agreed:
- the material remains owned by or licensed to Polish Up
- it may be used only to market genuine Polish Up-supplied products
- it must not be materially altered in a misleading manner
- outdated information must be removed when Polish Up supplies corrected information
- brand names and trademarks must be used accurately
29. Online marketplaces
Resellers using online marketplaces must comply with the marketplace rules and applicable law.
The reseller is responsible for its own:
- product listings
- selling prices
- shipping promises
- customer service
- refund and return obligations
- platform fees
- taxation and reporting obligations
Polish Up is not responsible for inaccurate claims, unauthorised guarantees or delivery commitments made independently by a reseller.
30. Consumer guarantees and business purchases
Some business customers may be treated as consumers under the Australian Consumer Law.
Applicable consumer guarantees may include guarantees relating to acceptable quality, fitness for purpose, correspondence with description and express warranties.
Consumer guarantees may not apply in some circumstances, including certain products purchased for resale or for use or transformation in production or manufacturing.
Nothing in these Terms attempts to exclude a guarantee, right or remedy where exclusion is prohibited.
31. Returns and change of mind
Trade and wholesale purchases are not automatically eligible for retail change-of-mind returns.
A trade or wholesale change-of-mind return requires prior written approval and may be subject to:
- the products being unused and resaleable
- complete original packaging
- return within the approved period
- customer-paid return freight
- inspection
- a reasonable restocking charge disclosed and agreed before the return
Special-order, imported, custom, modified or clearance products may not be accepted for change-of-mind return.
These conditions do not affect rights relating to faulty, unsafe, incorrectly described or incorrectly supplied products.
32. Faulty products and warranties
Faulty-product claims will be handled under applicable law and the Polish Up Warranty and Faulty Product Information.
A trade discount or business purchase does not remove consumer guarantees where those guarantees legally apply.
Customers must not continue using equipment that appears unsafe or where continued use may cause further damage.
33. Product advice
Polish Up may provide practical product-selection assistance based on information supplied by the customer.
The customer should provide complete information about:
- the material and surface condition
- the machine being used
- spindle, bore and attachment dimensions
- machine speed
- the intended result
- expected duty cycle
- relevant workplace requirements
The customer remains responsible for checking compatibility, workplace safety, operating requirements and intended commercial use.
This does not limit rights where the customer reasonably relied on Polish Up’s skill or judgement for a disclosed purpose.
34. Safety and regulatory compliance
Commercial customers are responsible for ensuring products are selected, installed, maintained and operated in accordance with:
- product instructions
- safety warnings
- applicable workplace procedures
- electrical requirements
- work health and safety obligations
- required personal protective equipment
- applicable industry or regulatory standards
Electrical installation, modification and repair must be completed by an appropriately qualified person where required.
35. Product recalls and safety notices
Customers must provide reasonable assistance where Polish Up or a manufacturer issues a safety notice, corrective action or product recall.
Resellers should retain sufficient transaction records to identify affected customers where reasonably necessary for safety or recall purposes.
A reseller receiving a safety notice must not continue supplying affected products contrary to that notice.
36. Confidential information
Customer-specific pricing, unpublished price lists, account terms, quotations and commercially sensitive information supplied by Polish Up must not be disclosed to third parties except:
- to employees or professional advisers who need the information
- with Polish Up’s permission
- where required by law
This clause does not apply to information already public through no breach of these Terms.
37. Privacy
Personal information collected for trade applications, credit assessment, orders, payment, delivery and account management will be handled in accordance with the Polish Up Privacy and Cookies Policy.
Where lawful and reasonably necessary, Polish Up may obtain or disclose information to trade referees, payment providers, credit-reporting bodies, insurers, professional advisers, delivery providers and debt-recovery services.
38. Account suspension or closure
Polish Up may suspend or close an account on reasonable grounds including:
- overdue payment
- fraud or suspected unauthorised purchasing
- materially false account information
- insolvency or material credit risk
- serious or repeated breach of these Terms
- unsafe or unlawful product use or resale
- abusive conduct toward staff
Where reasonably practical, Polish Up will explain the reason and provide an opportunity to address the issue.
Closure or suspension does not remove existing payment or return obligations.
39. Insolvency and material financial change
A credit-account customer should promptly notify Polish Up if it:
- cannot pay debts when due
- appoints or proposes to appoint an administrator, liquidator, receiver or restructuring practitioner
- enters a material arrangement with creditors
- ceases or proposes to cease business
Polish Up may suspend credit and require payment before further supply where a material payment risk arises.
40. Liability
To the extent permitted by law, neither party is liable to the other for loss to the extent caused by the other party’s:
- misuse
- negligence
- failure to follow instructions
- unauthorised modification
- material breach of these Terms
- inaccurate or incomplete information
Nothing in these Terms excludes liability that cannot lawfully be excluded.
41. Events outside reasonable control
Polish Up is not responsible for delay to the extent caused by circumstances outside our reasonable control, including natural disasters, severe weather, fire, flood, transport disruption, industrial action, government restrictions, power failure, carrier interruption or supply-chain disruption.
Where an affected delay becomes unreasonable, Polish Up will discuss available alternatives, cancellation or refund for unshipped products.
42. Dispute resolution
The parties should first attempt to resolve a dispute through direct discussion.
A written dispute notice should include:
- the order or invoice number
- a description of the issue
- supporting information
- the proposed resolution
Nothing in this section prevents either party from seeking urgent relief or exercising rights through a court, tribunal, regulator or other body with jurisdiction.
43. Changes to these Terms
Polish Up may amend these Terms for future orders.
The Terms applying to an order are normally the version accepted when the order was placed or the account agreement was entered into.
A material change to existing credit terms will be communicated before it applies, subject to applicable law and any existing agreement.
44. Severability
If a provision is invalid or unenforceable, it will be read down or removed only to the extent necessary. The remaining provisions continue to apply.
45. Governing law
These Terms are governed by the laws applying in Queensland, Australia.
The parties submit to courts and tribunals with jurisdiction in Queensland, subject to any mandatory right to bring a claim elsewhere.
